KBC successfully held the Annual General Meeting of Shareholders 2022, planned revenue target of VND 9,800 billion and profit target of VND 4,500 billion

In the morning of June 25th, 2022, at Que Vo Industrial Park - Bac Ninh province, Kinh Bac City Development Holding Corporation (KBC) successfully held the Annual General Meeting of Shareholders 2022 (AGM). The meeting approved the following contents: Regulations on holding the General Meeting of Shareholders in the form of offline/online and electronic voting; Report on the operation situation in 2021 and the operation plan in 2022 of the Board of Directors and the Executive Board; Report on supervision activities in 2021 of the Supervisory Board; The Audited financial statements 2021; Business results in 2021 and Report on the plan to issue shares to increase charter capital from equity; The plan to select the Auditing unit for the 2022 Financial Statements; Plan to pay remuneration, salary, bonus and operating expenses to the Board of Directors, Supervisory Board and Head of Supervisory Board in 2022; The amendment and supplementation of the Corporation's Charter on organization and operation; Internal regulations on corporate governance and operating regulations of the Board of Directors; Policy on transactions between related parties.

Attending the General Meeting (online, in person or through attorney) were 133 shareholders representing 364,905,942 shares, accounting for 63.3835% of the shares with voting right. Mrs. Nguyen Thi Thu Huong - General Director chaired the meeting.

Attending the online meeting, Mr. Dang Thanh Tam, Chairman of the Board of KBC, shared: Last year, the successful individual issuance of shares supported the Corporation obtain a large capital source to ensure investment activities. In the first months of the year, the Corporation continuously received Investment Registration Certificates for 3 to 4 large-area industrial park projects, forming a premise for future development.

On behalf of the BOD, Mrs. Nguyen Thi Thu Huong, General Director reported the business results: Within the next 1 month, the Corporation's business results will achieve a great development. In the previous years, the licensing situation was delayed due to the epidemic, but in the first months of this year, the procedures has been progressed quickly. The epidemic limited the travelling and contracting activities of our foreign partners, but after reopening, many large corporations have reach KBC, especially in the second half of this year.

In 2021, the Corporation attracted USD 3.4 billion, accounting for 13.14% of the whole country. Our major partners include LG Display (USD 2.1 billion), Foxconn (USD 453 million), JA Solar (USD 210 million) etc. In Quang Chau Industrial Park - Bac Giang province, of 100 ha licensed for additional investment, about 50ha is subleased by an investor who is a large corporation specializing in Apple products.

Nam Son - Hap Linh Industrial Park inBac Ninh province has attracted many phone-component manufacturing projects, logistics & warehouse projects, electronic manufacturing projects etc from China, Singapore, Taiwan etc. Last year, The Corporation signed an MOU with OPPO and an official contract were signed 3 weeks ago. In the next 2 weeks, KBC will sign huge contracts with project investors, which can reach up to billions of USD. The Corporation is oriented to attract high-tech investors and also partners building yachts who will visit the industrial park in Quang Ninh and a number of high-tech investors entering Hai Duong province or Hai Phong city.

Regarding land bank expansion, in Bac Ninh province, KBC is licensed for 3 industrial parks, of which Que Vo industrial park is demanded by investors to be expanded after effective operation. In Hai Duong province, when Decree 35/2022/ND-CP on management of industrial parks and economic zones was promulgated, many industrial park enterprises considered it disadvantageous, but KBC's General Director commented: The Corporation mainly attracts high-tech corporations and Decree 35 gives priority to this group. The Corporation also comes to Hai Duong and Quang Ninh province to develop industrial parks. In addition, KBC still has land bank available in Trang Cat Complex in Hai Phong city.

Regarding business results, the Board of Directors presented the 2022 plan of total consolidated revenue target of 9,800 billion dong, doubling the previous year and consolidated profit before tax target of 4,500 billion dong, 4.7 times higher than 2021.

In 2021, the Corporation recorded a total revenue of VND 4,421 billion, increasing 79%; Profit after tax belonging to shareholders of parent company reached VND 782 billion, which is 3.5 times higher than the previous year. The Board of Directors proposes not to pay dividends in 2021 because it has just conducted a share bonus at the ratio of 3:1.

Shareholders attending the General Meeting all agreed with the contents presented by the BOD of the Corporation and highly appreciated the success which has been achieved by the Board of Directors, Executive Board and all employees in the Corporation in 2021.

The Meeting took place successfully and ended at 12:05 on the same day.
